In July, Treasury fined a US company $200,000 because a subsidiary failed to report a $92,478 investment in a Chinese AI and robotics company. Treasury announced that first-ever penalty on Oct 7. It's the enforcement backdrop for the proposed rule Treasury put out on Thursday, Oct 22, and I think it tells you how seriously this program is going to be policed.

The proposal expands the Outbound Investment Security Program. It implements the Comprehensive Outbound Investment National Security Act that Congress passed in December 2025, which codified the program Biden started by executive order in 2023.

It keeps separate categories for prohibited and notifiable deals, adds biotechnology, and broadens coverage of hypersonics, quantum, supercomputing and AI. The targets are China, Russia and North Korea, and the underlying law also names Cuba, Iran and Venezuela under Maduro, though the proposal reportedly leaves Venezuela off. The $50,000 threshold applies to notification, not to prohibited deals, and exceptions depend on the type of transaction.

It's still a proposal with no legal effect yet. Comments are due Dec 7, and the final rule will set the effective date.

Ryan Majerus at King & Spalding called it "the first step in a fairly long process." Craig Singleton at FDD said it "sends an important signal to markets." China's Commerce and Foreign Ministries urged the US to abandon it, warning against "overstretching the concept of national security." Beijing named no specific countermeasure but reserved the right to take one.

My read is that biotech is the line item to watch. AI and quantum were already on everyone's radar. Biotech comes in prohibition-only, with no notification tier and a broad scope that includes a range of pharmaceutical compounds. I'd want to know how many US investors hold small China biotech positions that would suddenly be off-limits, not just reportable.
