Marvell just agreed to buy Lumentum in an all-stock deal with an enterprise value of $115 billion including debt. Bloomberg puts the equity value at roughly $102.6 billion. Lumentum shareholders get a fixed 4.5 Marvell shares for each Lumentum share, and Marvell shareholders will own about 67% of the combined company. It's a signed agreement, not a done deal: the companies are targeting a close in the first half of 2028, pending approvals.

The strategic logic is easy to follow. Lumentum makes the optical and photonic components that handle connectivity inside AI data centers, and Reuters frames the deal as Marvell taking on its larger rival Broadcom in the race to capture AI data-center spending. Owning the optics piece directly looks like Marvell's answer to that race.

The structure is what I keep coming back to, and the market just showed why. With a fixed exchange ratio and no cash, Lumentum holders are effectively swapping into a bet on Marvell's stock. Marvell closed down 13.2% at $170.56 after touching -14.2%.

Lumentum closed down 19% at $680.96, its low of the session, even after reporting $1.26 billion in quarterly revenue and guiding next quarter to $1.575-$1.625 billion. At Marvell's close, 4.5 shares are worth about $767 per Lumentum share. Whatever holders think of the deal, their outcome now rides on how the market values the combined company.

Then there's the detail TechCrunch flagged: Nvidia put $2 billion into each of Marvell and Lumentum earlier this year. I'd love to know how much that shared shareholder shaped the conversations that led here. When the biggest name in AI infrastructure sits on both sides of a deal this size, it's fair to wonder whose roadmap it serves.
