$JPM · JPMorgan Chase & Co.
JPMorgan Chase Financial Company LLC filed an amended and restated preliminary pricing supplement for a new offering of callable contingent interest notes linked to the common stock of American Airlines Group Inc., due November 2, 2028. The notes are fully and unconditionally guaranteed by JPMorgan Chase & Co. They are expected to price on or about October 30, 2026, and settle on or about November 4, 2026, with a minimum denomination of $1,000.
The notes may pay contingent interest at a rate of at least 14.75% per year, payable at a rate of at least 1.22917% per month, on any review date when American Airlines’ closing share price is at least 50% of its initial value. If a contingent interest payment is missed because the stock closes below that barrier, it can be paid later if the barrier is met on a subsequent review date. JPMorgan may redeem the notes early at its option on certain interest payment dates, beginning May 5, 2027.
Investors should be willing to accept the risk of losing a significant portion or all of their principal and the risk that no contingent interest payments may be made for some or all review dates. The preliminary estimated value of the notes is approximately $960 per $1,000 principal amount, and the final estimated value will not be less than $940 per $1,000 principal amount.
