On October 19, 2026, Tesla, Inc. filed additional proxy materials announcing a Voluntary Retail Voting Program for retail investors. The program lets shareholders provide a standing instruction to have their eligible shares voted in accordance with the Tesla board’s recommendations at future shareholder meetings, defined as meetings for which a definitive proxy statement has not yet been filed. It does not apply to the 2026 Annual Meeting, scheduled for December 3, 2026. After voting for the 2026 Annual Meeting, investors may enroll through electronic voting platforms such as ProxyVote.com and Say by Robinhood. Participants can choose to vote all matters as the board recommends, or all matters except contested director elections and certain acquisition, merger, or divestiture transactions requiring shareholder approval. The standing instruction can be canceled at any time at no cost.
Tesla also launched a website containing information about the program and included screenshots of the enrollment windows as exhibits. The filing states that separate definitive proxy materials will be filed for any future shareholder meeting and identifies certain Tesla directors and executive officers as participants in any future proxy solicitation.
