$TSLA · Tesla, Inc.
Tesla filed its definitive proxy statement for its 2026 annual shareholder meeting, scheduled for December 3, 2026, at Gigafactory Texas and online. The filing includes a letter from Chair Robyn Denholm describing 2026 operational milestones: Tesla began producing the Cybercab at Gigafactory Texas, expanded its Robotaxi service to more U.S. cities, surpassed 10 million cumulative vehicle deliveries, launched the Tesla Semi, and unveiled the Next Gen Roadster. The company also reported record energy storage deployments from Megafactory Shanghai and production of the new Megapack 3 at its Texas Megafactory, along with investments in its Nevada Semi factory, Optimus production lines, data center capacity, and battery and chip manufacturing.
Shareholders are asked to vote on three Tesla proposals: the election of three Class I directors for three-year terms, with Robyn Denholm, Elon Musk, and JB Straubel nominated; a non-binding advisory vote to approve 2025 executive compensation; and ratification of PricewaterhouseCoopers LLP as Tesla’s independent registered public accounting firm for fiscal year ending December 31, 2026. The board recommends voting “for” each proposal. The record date for shareholder voting is October 13, 2026.
