ADT shareholders are the clear winners here. My read is that the money is mostly made, and what's left is a small spread plus a go-shop that could still bring a better bid.
- On Oct. 29, ADT and Thrive Holdings announced a definitive agreement at $10 cash per share, a 45.6% premium to the unaffected Oct. 27 close of $6.87. That's about $7.6B in equity value and $15.3B in enterprise value.
- $ADT closed Oct. 29 at $9.87, up 33.2%, and was flat in Oct. 30 pre-market. That leaves roughly 13 cents to the offer price.
- The deal is signed but not closed. It still needs stockholder and U.S. antitrust approval, with closing expected in Q1 2027. A go-shop period runs through Nov. 28, so other offers are possible.
- TechCrunch calls Thrive Holdings OpenAI-backed, which is why this looks odd for a home security company. The announcement talks about capital and engineering capabilities. It names no specific AI product plan, and ADT says its data-protection and privacy policies stay unchanged.
This fits how I usually see deals: good for the company being bought, and too early to judge for the buyer. I'd watch for a rival bid before Nov. 28 and for any product plans Thrive shares after closing.
