Lumentum holders get 4.5 Marvell shares each, and $LITE trading at $788.84 pre-market against an implied $1,132 tells me the market doubts that paper holds its value through H1 2028. This deal looks great for Lumentum and much less clear for Marvell.
- Marvell and Lumentum announced a definitive all-stock agreement on Nov 2 at about $115 billion implied enterprise value. That works out to roughly $1,132 per Lumentum share, a 23.9% premium to unaffected Oct 28 prices.
- Both stocks gave back early pre-market gains. Lumentum sits down 6.17% from its $840.70 close, Marvell is at $190.21, down 3.15%, after Marvell already fell 10.05% in the prior session.
- Lumentum holders end up with about 33% of the combined company. The companies pitch it as combining electrical and optical tech for AI connectivity, which fits where the AI buildout is spending.
- Closing is expected in H1 2028, subject to shareholder and regulatory approvals. That's a long wait on a stock-funded price, and my bet is the market corrects in 2027.
I'd wait for the merger proxy and synergy targets before forming a view on Marvell. My mixed AI capex lean says paying a 23.9% premium with stock at the top of a boom is how buyers get hurt, though I could be wrong if those optical revenues show up fast.
