$BAC · Bank of America Corporation
Bank of America Corporation filed a pricing supplement for $1,280,900 of Trigger Callable Yield Notes issued by its subsidiary BofA Finance LLC and fully guaranteed by Bank of America. The notes are linked to the lesser-performing of the Russell 2000 Index and the MSCI EAFE Index and are due February 9, 2028. They pay a monthly coupon regardless of the underlying indexes’ performance unless they are called earlier.
Beginning in February 2027, the issuer may call the notes in whole on any monthly call date, paying the stated principal amount plus the coupon otherwise due. If the notes are not called and the lesser-performing index closes at or above its downside threshold on the final observation date, investors receive the stated principal amount plus the final coupon. If that index closes below the downside threshold, investors receive the final coupon but lose principal in proportion to the index’s decline, up to a total loss.
The notes do not provide any upside participation in the indexes and do not pay dividends. Payments are subject to the creditworthiness of BofA Finance and Bank of America, and the filing warns that the notes carry significant market and credit risk.
