$ORCL · Oracle Corporation
Oracle Corporation filed a prospectus supplement for a public offering of $10 billion aggregate principal amount of senior unsecured notes across five series. The offering consists of $2.0 billion of 7.000% notes due 2029, $1.75 billion of 7.450% notes due 2031, $2.25 billion of 7.850% notes due 2033, $2.5 billion of 8.000% notes due 2037, and $1.5 billion of 8.650% notes due 2046. Interest on most series is payable semi-annually on May 4 and November 4, beginning May 4, 2027, while the 2037 notes pay on February 4 and August 4, beginning February 4, 2027. The notes are new issues with no established trading market and will not be listed on any securities exchange. They will rank equally with Oracle’s other existing and future unsecured and unsubordinated indebtedness, and Oracle may redeem any series in whole or in part at any time at the applicable redemption prices described in the supplement.
Concurrently with this debt offering, Oracle is conducting a separate common stock offering of $10 billion under a different prospectus supplement. The closing of either offering is not conditioned on the closing of the other, and Oracle states it cannot assure that the concurrent common stock offering will be completed on the terms described or at all. The debt offering is managed by a large syndicate of underwriters led by BofA Securities, with delivery expected on or about November 4, 2026.
