$ORCL · Oracle Corporation
Oracle Corporation filed a final pricing term sheet on November 2, 2026, as a free writing prospectus to price a registered public offering of fixed-rate notes totaling $10.0 billion across five maturities. The offering consists of $2.0 billion of 7.000% notes due November 4, 2029; $1.75 billion of 7.450% notes due November 4, 2031; $2.25 billion of 7.850% notes due November 4, 2033; $2.5 billion of 8.000% notes due November 4, 2037; and $1.5 billion of 8.650% notes due November 4, 2046. The trade date for the notes is November 2, 2026, with settlement expected on November 4, 2026. Each series was priced close to par, and the filing sets out optional redemption terms allowing Oracle to redeem the notes before the applicable par call date at a make-whole price based on the relevant Treasury rate plus a spread, or at par on or after that date. Interest on the notes is payable semi-annually on May 4 and November 4, beginning May 4, 2027. BofA Securities, Inc. served as global coordinator and joint book-running manager, with several other financial institutions acting as joint book-running managers and co-managers for the offering.
