Last week I argued the real pressure on SpaceX stock came from float, Tesla-merger uncertainty, and AI capex worries. Now Musk says the capex money is handled: $40 billion in debt financing closed to buy GPUs, with the chips expected in the first and second quarters of 2027.

There's a catch. Bloomberg reports that pricing discussions are still ongoing despite Musk saying the deal closed, and Reuters said it's unclear what "closed" means or whether pricing has been agreed. Musk named no lenders, rate, or maturity.

Musk describes it as primarily callable debt and points out that SpaceX is investment grade with real revenue from Starlink and launch. According to Bloomberg, citing people familiar with the discussions, the proposed deal would run through a special purpose vehicle to keep the debt off SpaceX's balance sheet. Goldman Sachs is leading talks with investors including Apollo.

He also made a broader call. Debt markets, he says, have largely shut off for companies without substantial revenue outside AI data centers, and more than 200 neocloud compute firms will consolidate into a handful. He says SpaceX won't be among the failures.

I buy the logic that Starlink and launch give SpaceX borrowing power the pure-play neoclouds lack. What I keep coming back to is the structure. If the Super Intelligence segment was already $7.56B of $14.58B in Q3 revenue, why go to the trouble of keeping $40B of AI debt off the books?
