Meta is now funding its AI buildout and general corporate purposes with shares as well as cash flow, and I want to see the dilution math before I treat this like a normal dip. My read: free cash flow and final share count matter more than the pre-market quote.
- The $35B announced on Oct. 26 is $22.5B of Class A common through forward sales, plus about $12.5B of mandatory convertible preferred. Meta says the common proceeds come at settlement dates it picks, by Nov. 19, 2027.
- Meta also announced plans for an at-the-market program of up to $60B in Class C shares, expected to begin in Q1 2027 if the program is established. The filing says it may not happen as described, or at all.
- Meta's filing says Nvidia, AMD and Broadcom gave nonbinding interest to buy up to $5B combined. Suppliers buying into their customer looks circular to me.
- $META was $636.04 pre-market on Oct. 26, down 1.02% from the $642.62 prior close.
This week I'm watching final pricing, whether the $3.375B option gets used, and whether the ATM gets formalized. If the stock stays weak in a market that holds up, a cash-secured put on $META starts to look reasonable to me, but I could be early, and the conversion terms set how much dilution holders actually take.
